It should clearly define what will be built, which drawings and specifications will govern the work, what the contractor will charge, when payments will be made, who is responsible for materials and labour, how changes will be handled, and what happens if there are delays, defects or disputes.

For a homeowner, the agreement is much more than a formal document to sign before work starts. It becomes the reference point for the project when questions arise about what was included, which material was agreed, how a payment should be released, how the final area will be measured, or whether a particular change is additional work.

A good agreement does not have to be complicated. It needs to be clear, specific and consistent with the drawings, BOQ, specifications and payment terms of the project.

Important: This article provides general information for homeowners and contractors in India. For a substantial project or a contract involving significant legal or financial obligations, have a qualified legal professional review the final agreement.

Why Is a House Construction Agreement Important?

Many construction disputes do not start because either party intended to create a problem. They start because something was never clearly agreed upon.

The problem often begins with a simple assumption:

The homeowner assumes the contractor will provide scaffolding, but the quotation excludes it.

The contractor assumes a particular brand of tiles was agreed, while the homeowner expects another.

The quoted rate is per sq ft, but the parties never define how the final area will be measured.

The homeowner asks for an additional room or design change but does not document the additional cost.

A payment is released before the corresponding stage of work is completed.

The contractor faces a delay, but there is no agreed procedure for extending the completion date.

A written agreement helps reduce these grey areas by putting the commercial and practical terms in one place.

The Indian Contract Act, 1872 provides the general legal framework for contracts in India, including provisions dealing with agreements, performance and consequences of breach. For residential construction, however, the practical value of an agreement comes from how clearly it defines the actual project.

In our experience, many construction disagreements are not caused by complicated technical issues. They usually start with something that both parties thought was “understood” but was never actually written down.

A tile brand, the extent of scaffolding, the final measurement of built-up area, an additional electrical point or even the timing of a payment can become a point of disagreement if the agreement does not define it clearly.

What Should a House Construction Agreement Include?

There is no single format that fits every residential project. However, a practical house construction agreement will usually address the following:

Details of the homeowner and contractor

Description of the project

Scope of work and exclusions

Drawings and technical documents

BOQ and specifications

Materials, brands and quality requirements

Contract price and pricing method

Payment terms and milestones

Construction timeline

Responsibilities of the homeowner and contractor

Measurement and billing procedure

Changes and additional work

Quality control and inspection

Site safety and labour responsibilities

Defect rectification and post-completion obligations

Handover requirements

Termination and abandonment

Dispute resolution

Let’s look at each of these in practical terms.

1. Details of the Homeowner and Contractor

The agreement should clearly identify both parties.

At a minimum, it should state:

Full legal name of the homeowner

Address and contact details

Contractor’s full legal name

Business or firm name, where applicable

Business or registered address

Contact details

GSTIN, PAN or other identification details, where applicable

If the contractor operates through a company, partnership or other registered entity, the agreement should identify the actual contracting entity rather than only the individual site representative.

This is particularly important when payments are being made to a business entity but the agreement is signed only in an individual’s name.

2. Description of the House Construction Project

The agreement should identify the property and the construction project to which it applies.

The project details may include:

Site address

Plot area

Proposed built-up area

Number of floors

Type of building

Approximate construction scope

Applicable sanctioned plan or approval details, where relevant

The purpose is simple: both parties should be clear about exactly which property and construction work the agreement relates to.

3. Define the Scope of Work and Exclusions

The scope of work is one of the most important parts of a house construction agreement.

Instead of simply writing: “Contractor shall construct the house as per agreed specifications.”, the agreement should define what that actually means.

Depending on the contract, the scope may cover:

Site preparation, excavation and foundation work

RCC structure, masonry and plastering

Waterproofing, flooring and wall finishes

Doors, windows, railings and other fixed elements

Electrical, plumbing and sanitary work

Painting and agreed external works

Kitchen, wardrobes or other fixed interior work, where specifically included

The important point is not how many items appear in the list. It is that the agreement clearly states which items are included and which are excluded.

Inclusions and exclusions are equally important

A construction agreement should not only say what the contractor will do. It should also identify what is not included.

Depending on the project, exclusions may include:

Modular kitchen

Wardrobes

Air conditioners

Appliances

Boundary wall

Landscaping

Borewell

External utility connections

Certain statutory fees

The exact list will vary from project to project.

The objective is to leave as little room as possible for either party to interpret the scope differently after construction has started.

A contractor’s quoted rate can look attractive until items that the homeowner assumed were included start appearing as “extra work”. Defining the scope at the beginning helps avoid that situation.

4. Attach the Drawings and Technical Documents

The construction agreement should identify the drawings and technical documents that form part of the contract.

Depending on the project, these may include:

Architectural drawings

Floor plans

Elevations

Sections

Structural drawings

Electrical drawings

Plumbing drawings

Waterproofing details

Door and window schedules

Flooring layouts

Other construction details

The agreement should also identify the revision or version of the drawings being used.

This matters because drawings can change during a project. If the contractor and homeowner are working from different versions, even a correctly executed drawing can create a disagreement.

For a homeowner, the practical reason is simple: everyone involved in construction should be working from the same version of the drawings.

5. Include the BOQ and Specifications

A Bill of Quantities (BOQ) or detailed scope and specification schedule can make the agreement much clearer.

Depending on the contract type, it may contain:

Item description

Unit

Quantity

Specification

Brand or approved equivalent

For example:

Item

Unit

Quantity

Specification

RCC concrete

cu m

As per BOQ

As per structural drawings

Reinforcement steel

kg

As per BOQ

Fe 500D TMT

Floor tiles

sq ft

As per BOQ

Agreed make and specification

Internal paint

sq ft

As per BOQ

Agreed paint system

The BOQ should not be treated as a substitute for drawings and specifications. They should work together.

For example, the structural drawings may define the structural requirements, while the BOQ establishes the quantities and pricing basis. The material specification then identifies the agreed quality or product requirements.

6. Clearly Specify Materials and Brands

One of the common sources of disagreement is the phrase: “Good quality materials.”

That isn’t specific enough.

Where material selection matters, the agreement should identify the material, grade, brand or approved equivalent, product range, size, thickness, finish and other relevant technical requirements.

For example, instead of simply saying “tiles of good quality”, the agreement can refer to the agreed tile specification or an attached finishing schedule.

What if the specified material becomes unavailable?

The agreement should also explain the substitution process.

A practical approach is to require prior approval where a proposed substitute differs materially from the agreed specification, quality or appearance.

This avoids a situation where a contractor makes a substitution first and informs the homeowner later.

The same principle can apply to cement, reinforcement steel, electrical wiring, plumbing materials, sanitaryware, tiles, paint and other significant materials, depending on the contract.

7. Clearly Define the Contract Price

The agreement should state:

Total contract value, where applicable

Pricing method

Applicable taxes

What is included

What is excluded

Whether rates are fixed or subject to specified adjustments

How additional or reduced work will be valued

Residential construction can be undertaken through different arrangements, such as:

Labour-only contract

Material and labour contract

Item-rate or BOQ contract

Lump-sum contract

Per-square-foot arrangement

Turnkey arrangement

A per-square-foot rate by itself is not a complete description of a construction contract.

The homeowner should know what the rate includes and how the final payable amount will be calculated.

If you are comparing a conventional contractor arrangement with turnkey construction, see our guide to Contractor vs Turnkey House Construction.

8. Define the Payment Terms

The agreement should clearly state:

Advance or mobilisation payment, if any

Payment milestones

Measurement requirements

Conditions for releasing each payment

Retention, if applicable

Final payment

Treatment of disputed amounts

For example, a payment milestone can be linked to completion and verification of the corresponding stage of work rather than simply to a date.

The actual percentages should be decided according to the project’s contract structure.

A payment schedule should also work together with the scope, measurement method and final billing provisions. A milestone such as “RCC completed” is much clearer when the agreement or BOQ explains what work that milestone covers.

9. Set the Construction Timeline

The agreement should specify:

Expected start date

Expected completion date

Major milestones

Conditions that may justify an extension

Procedure for recording delays

Responsibility for delays caused by either party

Possible causes of delay may include:

Changes requested by the homeowner

Delayed decisions or approvals

Unavailability of drawings or details

Payment delays

Material availability

Unforeseen site conditions

Severe weather

Government restrictions or other events beyond reasonable control

The important point is to distinguish between contractor-caused delays and delays caused by circumstances outside the contractor’s reasonable control.

For example, a delay caused by an owner-requested design change should normally be treated differently from a delay caused by the contractor failing to mobilise labour.

10. Define Who Is Responsible for What

A simple responsibility matrix can prevent a surprising number of misunderstandings.

Typical responsibilities may look like this:

Responsibility

Example allocation

Architectural drawings

Homeowner/architect

Structural drawings

Homeowner / structural consultant

Labour and site supervision

Contractor

Tools and scaffolding

Contractor

Construction materials

Contractor

Site electricity and water

Owner

Municipal approvals

As specified in the contract

Storage space

As specified in the contract

Construction supervision by consultant

As specified in the contract

Where the contractor is responsible for any design, detailing or engineering input, that responsibility should also be expressly stated in the agreement.

These are only typical allocations. The agreement should state the actual responsibility for the individual project rather than relying on assumptions.

For example, in one project the homeowner may provide cement and steel while the contractor supplies only labour. In another, the contractor may be responsible for procurement of all materials. The agreement should make that distinction clear.

11. Define How Measurements and Bills Will Be Prepared

This is particularly important where the contractor is paid according to quantities or built-up area.

The agreement should explain:

How quantities will be measured

Who will take measurements

When measurements will be recorded

How variations will be calculated

How the final bill will be determined

How disputed measurements will be handled

For a per-square-foot arrangement, define exactly what the agreed measurement represents.

For an item-rate contract, define the measurement basis for individual items.

This can prevent disagreements at the final billing stage, when differences in interpretation can become financially significant.

12. Include a Written Change-Order Procedure

House construction almost always involves some changes.

A homeowner may decide to change a tile, add an electrical point, modify a door or upgrade a finishing material.

The problem is not the change itself. The problem is when the change is made without documenting its cost and effect on the schedule.

The agreement should establish a simple process for dealing with variations:

Describe the proposed change.

Identify the additional or reduced quantity.

State the applicable rate.

Calculate the cost impact.

Identify any timeline impact.

Obtain approval before execution, wherever practicable.

This is often called a variation or change order.

For example, if the homeowner upgrades bathroom fittings after the contract has been signed, the additional cost should be identified and approved rather than being left to be discussed during the final bill.

13. Define Quality and Inspection Requirements

The agreement should establish how quality will be monitored.

Depending on the project, this may include:

Compliance with approved drawings

Material specifications

Workmanship requirements

Required testing

Inspection before concealed work

Waterproofing checks

Reinforcement inspection before concreting

Plumbing pressure testing

Electrical testing

Snagging before handover

It should also identify who can inspect the work and, where necessary, when inspections should take place.

The purpose is not to create unnecessary bureaucracy. It is to catch problems before they become expensive to correct.

For example, checking reinforcement before concrete is poured is far more practical than discovering a problem after the slab has been cast.

14. Include Site Safety and Labour Responsibilities

The agreement should clearly allocate responsibility for site safety.

Depending on the arrangement, this may include:

Scaffolding and PPE

Electrical safety

Site access

Housekeeping

Storage of materials

First-aid arrangements

Worker safety

Labour-related statutory requirements, where applicable

Maintaining a safe working environment

Do not assume that a general statement such as “the contractor will follow all safety rules” is sufficient for a complex project.

The agreement should identify the responsibilities that actually apply to the project.

15. Define Defect Rectification and Post-Completion Obligations

The agreement should explain what happens when defects are identified after a stage is completed or after handover.

It should address:

What constitutes a defect

How defects will be reported

Who will inspect them

How quickly they should be addressed

Which defects are the contractor’s responsibility

Which issues fall under manufacturer warranty

How long the contractor’s defect-rectification obligation continues

Avoid automatically describing every post-handover issue as a “structural warranty”.

Different defects and products can have different contractual and manufacturer warranty arrangements. The agreement should reflect the actual project.

16. Define the Handover Requirements

Handover should not simply mean:

“The house is complete.”

The agreement can specify what needs to be completed before final handover, such as:

Completion of the agreed construction work

Snag rectification

Final cleaning

Final measurements

Final account

Keys

Product warranties

Equipment manuals

Test reports or certificates, where applicable

Relevant as-built information

Handover of remaining materials, where agreed

The agreement should state what documents, warranties, keys, test reports and other items are to be handed over at completion.

17. Include a Termination Clause

The agreement should explain what happens if either party seriously fails to perform its obligations.

Possible contractor-related triggers may include:

Abandonment of the project

Persistent failure to maintain progress

Repeated non-compliance with specifications

Serious quality issues

Unauthorised substitution of materials

Other material breaches of the agreement

Homeowner-related triggers may include:

Persistent non-payment

Failure to provide agreed site access

Failure to provide required approvals or information

Other material breaches

The agreement should also explain:

Notice period

Opportunity to rectify the breach

Measurement of completed work

Treatment of materials at site

Final settlement

Handover of project documents

A termination clause should be practical and specific rather than simply stating that either party can terminate “for any reason”.

18. Define How Disputes Will Be Handled

A practical agreement should establish what happens if the parties cannot resolve a disagreement.

Depending on the contract, this may involve:

Written discussion between the parties

Escalation to the project representative

Mediation, if agreed

Arbitration or court proceedings, depending on the agreed contractual mechanism

The agreement should also specify the applicable jurisdiction where appropriate.

Because dispute-resolution clauses can have legal consequences, professional legal review can be worthwhile for significant projects or agreements containing complex legal obligations.

What Should Be Attached to the Construction Agreement?

The agreement itself does not have to contain every technical detail. Supporting documents can be attached or incorporated by reference so that the main agreement remains readable while the project details remain clear.

For a typical residential construction project, three annexures may be sufficient.

Annexure A — Scope, BOQ and Material Specifications

This can include the agreed scope, inclusions and exclusions, quantities and rates where applicable, and important material specifications and brands.

Annexure B — Drawings and Technical Documents

This can list the architectural, structural and services drawings forming part of the agreement, along with their revision numbers and dates.

Annexure C — Payment Schedule

This can set out the agreed payment milestones, amounts or percentages and the conditions for releasing each payment.

The exact documents will depend on the contract. The important point is that every document referred to in the agreement should be clearly identified and available to both parties.

What Should NOT Be Left Vague?

Some phrases sound clear when they are spoken but become surprisingly vague when a disagreement arises.

Before signing, look specifically for wording like this:

Avoid vague wording

Define instead

“Good quality material”

Brand, grade or specification

“Complete house construction”

Detailed scope and exclusions

“Payment as work progresses”

Specific payment milestones

“Work will be completed soon”

Start and completion dates

“Extra work charged separately”

Written variation procedure

“Area as measured at site”

Measurement method

“Defects will be repaired”

Defect procedure and period

“Contractor responsible for safety”

Specific safety responsibilities

“As per drawing”

Drawing number and revision

“Final payment after completion”

Handover and final-account conditions

The more important the item, the less it should depend on verbal understanding.

Before finalising a construction agreement, it is also important to compare the quotations carefully and make sure you understand what each contractor has included. See our guide on how to compare house construction quotes the right way.

House Construction Agreement Checklist

Before signing, a homeowner should be able to answer “yes” to these questions:

Are both parties correctly identified?

Is the project and scope clearly described?

Are inclusions and exclusions documented?

Are drawings and specifications identified?

Are materials and important brands specified?

Is the price and pricing method clear?

Are payment milestones and measurement methods defined?

Is the completion date and delay procedure clear?

Is there a written procedure for changes and additional work?

Are defects, handover, termination and dispute resolution covered?

If several of these answers are “no”, the agreement may leave important parts of the project open to interpretation.

Should You Sign the Agreement Before Finalising the Drawings?

As far as possible, do not finalise the contractor’s scope and price before the drawings and specifications are sufficiently developed.

The reason is straightforward: a contractor cannot price or execute a scope accurately if important parts of the design are still being decided.

At a minimum, the homeowner should know:

What is being built

What the drawings show

What the contractor is responsible for

Which materials are specified

How quantities will be measured

What the agreed price covers

How changes will be priced

This is why architectural drawings, structural drawings, specifications and BOQ are not merely paperwork. They form the technical basis against which construction can be executed and checked.

This does not mean every drawing must remain frozen forever before work begins. Residential projects often involve reasonable changes. What matters is that the original scope is clear and later changes are documented as variations rather than being absorbed into informal verbal discussions.

If you are still at the planning stage, Houseyog can help prepare the architectural and construction drawings required before approaching contractors.

House Construction Agreement vs. Contractor Quotation

A quotation tells you what a contractor is offering. An agreement records what both parties have finally agreed to.

A contractor quotation may tell you:

What the contractor proposes to charge

What the quoted rate includes

Basic scope

Payment expectations

A construction agreement should go further by documenting:

Scope

Drawings

Specifications

Price

Payment conditions

Timeline

Responsibilities

Measurements

Variations

Quality requirements

Defects

Termination

Dispute resolution

A quotation can therefore become part of the contractual documentation, but it should not be assumed that a quotation alone covers everything needed for a residential construction contract.

Download a Free House Construction Agreement Sample

Want to see how these clauses come together in an actual residential construction agreement?

Download our free sample house construction agreement PDF for a G+1 residential house of approximately 2,200 sq ft and use it as a starting point for your own project.

[Download Free House Construction Agreement PDF]

The sample is intended as a practical starting point. For a significant construction project, documenting the commercial and technical terms is especially important.

Who should draft a house construction agreement?
The agreement can be prepared based on the commercial and technical terms agreed by the homeowner and contractor. For significant projects or where the contract contains complex legal obligations, having the final agreement reviewed by a qualified lawyer can help identify legal issues that a construction professional may not cover.

Should drawings be attached to the contractor agreement?
Yes. The agreement should identify the drawings and their revision numbers, and the applicable drawings should form part of the project documentation. Architectural, structural and services drawings may all be relevant depending on the scope.

Should the BOQ be part of the construction agreement?
Where the project is based on item-wise quantities and rates, attaching the BOQ or incorporating it clearly into the contract can help define the scope and basis of payment.

How should additional construction work be handled?
Additional or changed work should ideally be documented before execution, with the change, quantity, rate, additional or reduced cost and any impact on the timeline clearly recorded.

Should a contractor agreement mention delay compensation?
It can contain provisions dealing with delay, extensions of time and compensation. However, the clause should be drafted carefully rather than assuming that a stated “penalty” is automatically payable. Section 74 of the Indian Contract Act addresses compensation where a sum or penalty is stipulated for breach.

Final Thoughts

A good house construction agreement is not about filling a document with complicated legal language. It is about removing uncertainty.

Before construction starts, the homeowner and contractor should have the same understanding of what will be built, what the contract price covers, which materials and drawings will govern the work, how payments will be made, how changes will be priced and what happens if something goes wrong.

The agreement works best when it is supported by properly developed architectural and structural drawings, specifications and a clearly defined scope or BOQ.

If you are considering having the construction managed as an end-to-end project instead of appointing and coordinating individual contractors yourself, you can also explore Houseyog’s Turnkey Construction Services.

A house construction agreement records what the homeowner and contractor have agreed to before construction begins.
